Air Products, Airgas Seek Separate Courts - 2/17/2010
Airgas, which is seeking to fend off an unsolicited $5.1 billion takeover bid by Air Products & Chemicals, is fighting its rival’s request to have a Delaware judge decide the fate of its former legal counsel Cravath Swaine & Moore LLP.
Airgas, the Radnor, PA-based distributor of industrial gases, sued Cravath in state court in Philadelphia on February 5 claiming the 191-year-old New York law firm had access to confidential information while helping Air Products prepare its takeover offer.
Air Products, which filed its own complaint against Airgas on February 4, petitioned to move the case to federal court in Philadelphia and submitted a request yesterday to have a Delaware judge decide the matter first.
